General Terms and Conditions (GTC)

1.1 Purpose and Scope

These General Terms and Conditions (hereinafter referred to as GTC) form the secure framework for a successful and focused collaboration between Digital Passion GmbH (hereinafter Digital Passion), operator of AI-Outsourcing.ch, and its customers. We believe that leadership becomes effortless when thought, language, and technology reinforce one another.

These terms serve to define the rhythm of our collaboration, protect cognitive bandwidth, and secure the speed of your transformation. They are an integral part of every offer and every invoice. If the customer uses its own terms and conditions, these shall not apply to the contractual relationship.

1.2 Commencement and Communication

The contract comes into effect upon acceptance of the order, payment of the invoice, or commissioning (by email, online form, verbally, or in writing).

The first of these dates counts as the start date. Digital Passion reserves the right to reject an order without stating reasons. Primary communication takes place by email. The customer is obliged to report address changes within 10 days. If contact details are incomplete or outdated and the customer can no longer be reached, Digital Passion is entitled to suspend the provision of services or terminate the contract extraordinarily.

1.3 Duration, Subscriptions, and Sovereign Closure

The initial contract term is defined in the offer. Unless otherwise agreed, the contract renews automatically for the same duration unless terminated in writing at least 90 days before expiry. For contracts of less than 90 days, the notice period is 20 days from commencement. We end partnerships as sovereignly as we begin them.

Termination initiates the structured closing phase. Until the regular end of the contract, we ensure the secure operation of the systems. To focus on a clean handover, claims to new support or updates lapse upon termination. If the customer changes providers, every claim to services lapses immediately.

1.4 Early and Extraordinary Termination

If the customer wishes an early termination, Digital Passion may agree to a dissolution against compensation. The flat-rate compensation amounts to 50 percent of the order volume before project start, 85 percent in the first month after project start, and 100 percent thereafter. If changes to the GTC result in a massive disadvantage for the customer, they are entitled to an extraordinary right of termination with pro-rata reimbursement. In the event of serious violations of these GTC, Digital Passion reserves the right to immediate dissolution without compensation.

2.1 Prices, Expenses, and Third-Party Costs

The agreed prices in Swiss francs plus VAT apply. In the absence of an explicit agreement, an hourly rate of CHF 250.00 applies. Any granted discounts are valid exclusively upon timely payment. Necessary expenses are invoiced separately. The policies of third parties (hosting, advertising, domain names) apply to their services. If fees are charged here that are not included in the offer, these are borne solely by the customer. If the customer exceeds included limits (traffic, number of pages), the additional volume is invoiced.

2.2 Payment Deadline and Due Date

One-time items become due upon order confirmation. Recurring costs and subscriptions are invoiced in advance at the beginning of the period. Unless otherwise agreed, existing customers with consistently punctual payments have 14 days net from the invoice date. New customers have 7 days. Digital Passion may require advance payments.

2.3 Default and Collections

If the customer does not pay on time, they are in default without reminder. The offsetting of claims is excluded. Reminders are sent in a 10-day rhythm before further steps are taken. Digital Passion is entitled to charge reminder fees and default interest of 15 percent of the outstanding amount. In the event of payment default, all services and accounts may be suspended without further notice. Digital Passion reserves the right to refer the matter to a third party for collection. Reactivation takes place only after full payment plus a processing fee of CHF 250.00.

2.4 Secure Compute Credits (Dynamic AI Usage)

We consistently operate the actual AI workload of the platform (including edge pseudonymization, secure gateway routing, and model access) on a usage-based basis. Billing takes place separately and monthly according to effective throughput via so-called Secure Compute Credits, based on the platform's telemetry.

3.1 Services and Focus Ecology

Digital Passion is responsible for providing the services according to the offer description and is free in its choice of auxiliary persons. To guarantee response times, we structure the collaboration via the Strategy Cockpit. Work outside the service catalogue (such as email support for external systems, processing of third-party servers) is billed by effort.

3.2 Task Splitting and Delays

To ensure extremely high delivery quality in agile sprints, Digital Passion reserves the right to split extensive task packages into deliverable sub-tasks together with the AI. Stated delivery dates correspond to the planning status and are non-binding. In the event of non-compliance, a reasonable grace period must be set. We assume no responsibility for delays caused by customer changes.

3.3 Copyright, Image Material, and References

The copyright to all works lies with Digital Passion. If images or fonts are acquired from third parties on behalf of the customer, these may not be passed on. Until full payment, all services remain the property of Digital Passion. We may retain a reasonable number of samples, publish customer logos and project data, and place a reciprocal link to us on customer websites. Upon express written request, this may be omitted.

3.4 Technology, Liability, and Security

Digital Passion is liable under Swiss law only for intent and gross negligence. Liability for immaterial damages, lost profits, data loss, or in cases of force majeure is expressly excluded. We make every effort for secure servers but assume no responsibility for hacked or infected systems, particularly if the customer has been granted admin access. Search engine rankings depend on many factors; no guarantee of success is given. No compatibility is guaranteed for technologies with a market share in Switzerland below 10 percent or for outdated browsers. Servers are always set up with our standard settings.

4.1 Collaboration, Third-Party Rights, and Data Protection

The customer is obliged to actively cooperate. They are solely responsible for the legal admissibility of their domain names, content, and search terms as well as the protection of third-party rights. The right of use of our services is not transferable. The customer is obliged to independently back up all templates, manuscripts, and data carriers provided to Digital Passion. The customer is responsible for maintaining the confidentiality of their passwords and is liable for misuse. They consent to the storage and necessary transfer of their data for contract fulfillment.

4.2 Acceptance, Complaints, and Raw Data

The customer reviews all documents and publications promptly. By silent confirmation, the customer approves templates and ideas. In the case of image editing, minor deviations cannot be objected to. Revisions at the customer's request are subject to corresponding costs. Complaints must be made in writing immediately, at the latest within 7 days. The delivery of raw data is not provided for and is invoiced separately if applicable.

4.3 Operational Leadership and Systemic Transformation

The integration of artificial intelligence is a systemic change. The customer is responsible for internal change management. The operational control of all tasks takes place mandatorily via the Strategy Cockpit. Communication via other channels releases us from delivery guarantees. The WhatsApp channel serves exclusively for strategic exchange of ideas (Zero Task Policy).

4.4 The Law of Implementation

We work according to the vacuum principle. Completed tasks are submitted for final acceptance. A new task from the backlog only moves into active processing once the previous result has been approved. In this way, the customer determines the pace of their scaling through their own decisiveness.
